Terms of Service
Last updated: 30 September 2026
1. Who provides Synori.AI and what these Terms cover
These Terms of Service (“Terms”) are an agreement between you and Zallantis OU, a company based in Estonia (“Zallantis”, “Company”, “we”, “us” or “our”). Corporate contact: [email protected]. Further company information is available on the Zallantis website.
In these Terms, the “Synori department” is the operating designation for the Synori.AI service and support function within Zallantis OU. It acts on behalf of the Company and is not a separate legal entity or contracting party. Zallantis OU remains the legal service provider and the party responsible for the Company's obligations under these Terms. For Synori.AI matters, contact [email protected].
The Terms cover the Synori.AI application, including SynoriAI.app, our website at synori.ai, our cloud and workspace services at cloud.synori.ai and space.synori.ai, software distribution and downloads at download.synori.ai, and related features and services that we provide under the Synori.AI name (“Services”).
If you use the Services on behalf of a business or other organisation, “you” means that organisation, and you confirm that you are authorised to enter into this agreement for it. Otherwise, “you” means the individual using the Services.
Third-party model providers, coding-tool providers, API providers and other third-party services you connect to or use through Synori.AI are not parties to these Terms. Your rights and obligations with those providers arise under your separate agreements with them.
These Terms apply when you accept them as part of registration, installation or an order, or otherwise use the Services after being given a reasonable opportunity to read them. A paid subscription requires a separate order and agreement to its price and billing conditions. Merely visiting Pricing or submitting an early-access request does not authorise a payment.
2. Eligibility, accounts and organisations
You must be at least 18 years old and legally able to enter into a binding agreement to use the Services. The Services may be used by both individuals and businesses.
Provide accurate account and order information and keep it current. Protect your login credentials, API keys, access tokens and other secrets. Notify us promptly if you believe your Synori account has been compromised.
You are responsible for the people you authorise to use your account or organisation workspace and for configuring their access appropriately. This does not make you responsible for an incident caused by our own breach of these Terms or of applicable law.
For a Team or other organisation plan, the organisation is responsible for assigning authorised users, managing seats and permissions, and making sure it has the necessary authority to provide organisation data and connect its systems. Administrators may manage access and workspace data within the permissions the Services provide. Users should distinguish personal workspaces from organisation-controlled workspaces.
3. Permission to use the Services
Subject to these Terms and your applicable plan, we grant you a limited, non-exclusive permission to install and use the application and access the Services for personal or commercial purposes.
You may use Synori.AI to develop commercial software and automate work within your authorised environments. Using Synori.AI does not transfer ownership of the application, our trademarks or our other intellectual property to you.
You may not resell access to the Services, sublicense the application or distribute it as your own product without our permission. Restrictions on copying, modification or reverse engineering apply only to the extent permitted by law and do not override rights granted by applicable open-source licences.
Third-party software, model weights and other separately licensed components remain subject to their own licences. We do not grant rights to a third-party component that its owner has not granted.
4. Your content and generated results
“Input” means code, documents, prompts, files, credentials and other material you provide or make accessible to the Services. “Output” means text, code, documents and other results generated in response to your requests. “Actions” means operations carried out through the Services, such as editing files, running commands or interacting with connected systems.
You retain the rights you already have in your Input. You must have the rights and permissions needed for us to process it and for the Actions you authorise.
You give us permission to host, store, reproduce, process and transmit your content only as reasonably necessary to provide the Services, carry out your instructions, maintain their security, provide requested support and comply with law. This permission does not transfer ownership of your projects or grant us a right to sell your private content.
As between you and Zallantis, we claim no ownership in your Output. To the extent that Zallantis acquires rights in Output that can lawfully be assigned, we assign those rights to you. This does not transfer any rights belonging to a third-party provider, an open-source author or another person.
Output may be similar to output received by other users. We do not guarantee that Output is unique, copyrightable or free of third-party rights. You remain responsible for checking whether your intended use requires attribution, a licence or another permission, subject to our own obligations under applicable law.
We do not use your private project code, documents, Inputs or Outputs to train AI models unless you separately and expressly agree. A model provider you choose may have different data-use terms; those terms must be reviewed directly with that provider.
5. Agents, permissions and Actions
Synori.AI can use models, tools and APIs to generate results and perform Actions in response to your requests and requirements. The access you grant, the environments you connect, and the policies and execution modes you select determine what may happen automatically and what requires further approval.
An approval may authorise a particular Action or a defined category of Actions, according to the applicable policy. Choosing a mode that permits automatic execution does not mean that the system will ask again before every operation.
You must only connect files, repositories, accounts and systems that you are authorised to use. Review permissions, network access, credentials and spending limits before granting them to an agent or environment.
AI Output and Actions can be inaccurate, incomplete or different from what you intended. Review generated changes and use suitable tests before relying on them, particularly in production systems or when an operation affects other people.
Actions may consume provider credits, incur third-party charges, send information to external systems, change or delete data, or have other effects that cannot be undone. A Git checkpoint or local rollback does not reverse an external transaction, a sent message, a third-party operation or a provider charge. Maintain appropriate backups and recovery arrangements.
Isolation, access controls, approval policies and verification checks reduce risks; they do not guarantee that every error will be prevented. Nothing in this section removes our responsibility for our own breach of these Terms or obligations that cannot lawfully be excluded.
6. Models, APIs and other third-party services
You may choose to connect independently supplied model APIs, coding CLIs, model subscriptions, local models, repositories, storage systems and other tools (“Third-Party Services”).
You obtain and pay for the necessary third-party subscriptions, licences, credits and accounts yourself. You are responsible for accepting and complying with the relevant provider's legal terms, usage rules and access requirements.
Zallantis does not sell those Third-Party Services to you and does not charge you for their subscriptions, API calls, tokens or usage. Any fee you pay us is for the Synori.AI Services or plan identified in your order. A Synori.AI subscription does not include a third-party subscription or grant access that the third-party provider has not authorised.
Synori.AI may call those tools and APIs, transmit the Input needed for a request, receive their results and use them to fulfil your instructions. Providing an integration does not make the third party a party to these Terms, make us its contracting representative, or replace your agreement with it.
Third-party providers control their own services, outputs, availability, pricing, limits and policies. To the maximum extent permitted by applicable law, Zallantis is not responsible for those services, their results, provider decisions, outages, charges or the provider's performance of its agreement with you. We do not warrant that an integration will remain available after a provider changes or withdraws its service.
This exclusion does not remove our responsibility for the Synori.AI functionality we ourselves supply, our own acts or omissions in providing it, or any mandatory consumer rights. Contact the relevant provider about its service or billing and contact us about an issue in the Synori.AI integration.
Cancelling Synori.AI does not cancel your third-party accounts or subscriptions, and cancelling a third-party account does not automatically cancel Synori.AI.
7. Local data, cloud data and privacy
The Services combine local and cloud functions. Depending on the feature and your settings, project files, local Artifacts and credentials may remain on a device you control, while workspace documents, plans, issues, chats and other service state may be processed or synchronised with our cloud services.
When you use a cloud model or connected tool, the necessary prompts, context and other authorised information may be sent to that provider. Local model execution does not, by itself, send inference data to an external model provider; it does not disable separate cloud functions of Synori.AI.
Our applicable Privacy Policy explains how we process personal data, including the purposes, recipients, retention and your rights. A provider's separate privacy terms apply to processing it performs under your agreement with it.
You must have authority to submit personal or confidential data belonging to others. Where we process personal data on behalf of a business customer and a data processing agreement is required, that agreement governs the relevant processing in addition to these Terms.
Keep independent copies of information that you need to retain. Contact us at [email protected] about access, export or deletion of cloud data. We will honour applicable access, portability and deletion rights; legitimate legal retention requirements may limit immediate erasure. Closing an account does not authorise us to erase independent local files on your devices.
8. Free plans, paid plans and early access
The Free plan has no Synori.AI subscription fee. Third-party provider charges, if you independently incur them, remain separate.
Early access may be free or paid depending on the plan you select in Pricing and the offer you accept. Early access does not, by itself, mean that a paid plan is free or that a free plan will become chargeable.
Before a paid order is concluded, we will identify its price and currency, applicable taxes, included features, any seat or usage conditions, billing period and renewal terms. Your order confirmation and the plan conditions presented and accepted at purchase form part of your paid subscription agreement.
Submitting an early-access request or selecting a plan in an enquiry does not create a paid subscription. Payment requires your acceptance of the actual paid offer.
Early-access features may still be developing. We do not promise delivery of an unpurchased future feature on a particular date unless we expressly agree to that commitment. The early-access label does not reduce the paid-period protections in section 10 or your mandatory rights.
9. Billing, renewal, cancellation and withdrawal
Paid plans are offered on a monthly or annual basis, as selected in the accepted order. The applicable charge is payable for the period stated in that order.
If your order expressly provides for automatic renewal, the subscription renews for the selected monthly or annual period until you cancel. We will disclose recurring charges before you agree to them. An order without an agreed automatic-renewal arrangement does not authorise automatic recurring payments.
You may cancel a renewal through any cancellation facility we make available or by contacting [email protected]. A clear cancellation received before the renewal takes effect prevents charges for the next period. Cancellation normally takes effect at the end of the period already paid for, and your paid access continues until then.
Cancellation of a future renewal is different from exercising a statutory right of withdrawal or requesting a remedy for a service that does not conform to the contract. Except where these Terms expressly provide otherwise or applicable law requires a refund, cancelling a renewal does not create a right to a refund for the unused part of the current paid period.
If you are an EEA consumer buying a paid subscription at a distance, you generally have 14 days from concluding the subscription contract to withdraw without giving a reason. Any longer period or additional protection required by law also applies. You can exercise this right by sending us a clear statement, including by email, or by using the optional form in Appendix 1. Use of that form is not compulsory. We will also provide any online withdrawal function required by applicable law.
Where a valid statutory withdrawal applies, we will make the required refund without undue delay and no later than 14 days after receiving your withdrawal notice, using the original payment method unless you expressly agree otherwise and without a refund fee. We may deduct a proportionate amount for services already supplied only where you expressly requested performance during the withdrawal period and the deduction is permitted by law. Starting to use an ongoing subscription does not by itself waive your statutory withdrawal rights.
Consumers retain statutory remedies for services that are not supplied or do not conform to the contract. A business customer's cancellation and refund rights follow its accepted order and applicable law.
We may suspend paid access for non-payment of a properly due charge after giving reasonable notice and an opportunity to resolve it. We will not charge you a higher renewal price unless it has been notified and accepted as required by the applicable agreement and law.
10. Changes to plans and protection of paid periods
We reserve the right to introduce, modify, discontinue or close any plan, including closing a plan to new subscribers or deciding not to offer further renewals.
Free plans
For a free plan, we determine whether and how much advance notice to give for a change, restriction, suspension or closure, including the possibility of no advance notice, except where applicable law requires notice, a reason, a remedy or an opportunity to retrieve data.
Changes may reflect development of the Services, operating costs, usage, availability of integrations, security or legal requirements. We will not convert a free plan into a paid subscription or charge you without your express agreement.
Paid plans
The price, included entitlements and plan conditions that you accepted when purchasing a paid subscription remain applicable to you until the end of the period you have fully paid for.
A later change or closure of that plan does not retrospectively change those conditions. In particular, we will not apply a higher plan price, reduce your purchased entitlements, force you onto a replacement plan or end your paid access merely because we change or close the plan during that period.
We may announce a future change while your subscription is active, but the change will not take effect for you before the end of your current fully paid period. We will notify you in advance of the proposed next-period price and conditions, or of non-renewal, and give you a reasonable opportunity to cancel before any renewal charge. Notice will be provided in a form you can retain, such as email, and any longer notice or express consent required by law will apply.
For example, if you buy an annual subscription and we change the plan during that year, your purchased price and entitlements remain in effect until the end of the paid year. The new conditions may apply only to a subsequent period, subject to the notice and consent requirements above.
Closing a plan to new sales does not end an existing paid subscription early. If we discontinue its renewal, your subscription ends at the end of its fully paid period without a charge for a further period.
Maintenance, bug fixes and security updates may be delivered during a paid period, provided they do not reduce the purchased entitlements or use a general update as a way around this protection. Suspension for your material breach or where required by law is addressed separately in section 12.
11. Acceptable use
You must not use the Services to break the law, infringe another person's rights, gain unauthorised access to systems or data, steal credentials, distribute unlawful harmful content, or interfere with the security or operation of the Services.
Do not evade subscription entitlements or technical access restrictions, impersonate another person without authority, or connect an account or data source without the necessary permission.
Automation, agent execution and permitted commercial software development are intended uses of Synori.AI. These Terms do not prohibit them merely because a task is automated. They do not authorise conduct prohibited by the law or by a third-party agreement that applies to your use.
12. Suspension and termination
You may stop using the Services at any time and request closure of your account. A request to close your paid account also cancels future renewals of that account's Synori.AI subscription. If you want access to continue until the end of the paid period, you may instead cancel renewal as described in section 9 without requesting immediate account closure.
We may restrict or suspend access where reasonably necessary because of a material breach of these Terms, a legal requirement, non-payment under section 9, or a concrete security threat. Where practicable, we will explain the reason, provide notice and give you a reasonable opportunity to address the issue. Immediate action may be necessary to comply with law or contain an urgent threat.
You may challenge an account restriction by contacting [email protected]. We will review the relevant circumstances rather than treating an automated restriction as unreviewable.
Ordinary business decisions to change, close or stop renewing a plan remain subject to section 10. We will not treat plan retirement as a breach by you or use this section to avoid delivering a period you have paid for.
On termination, access permissions end as applicable, but provisions that need to survive, such as accrued payment obligations, content ownership and dispute provisions, continue to apply. We will handle cloud data, export requests and deletion in accordance with our legal obligations, the applicable privacy information and any data processing agreement.
13. Service quality and responsibility
We will provide our Services with reasonable skill and care and comply with the obligations that applicable law places on us.
We do not guarantee that AI Output will be correct or suitable for every purpose, that every Action will match your intentions, or that the Services and every integration will always operate without interruption. No particular uptime or support response commitment applies unless expressly included in your accepted plan or a separate agreement.
For consumers, nothing in these Terms excludes statutory guarantees, remedies for non-conforming digital services or other rights that cannot be waived. Describing a feature as free, beta or early access does not remove protections that the law grants.
For business customers, to the extent permitted by law, we exclude liability for indirect or consequential losses, including lost profits or business opportunities arising from use of the Services. This exclusion does not apply to intentional misconduct, gross negligence where it cannot lawfully be excluded, or any other non-excludable liability.
Nothing in the allocation of responsibility for your instructions, Actions or Third-Party Services excludes liability that we cannot lawfully exclude or excuses a breach of our own contractual obligations.
14. Changes to these Terms
We may update these Terms to reflect developments in the Services, changes in law, security needs or the way we operate the Services.
Changes to free plans follow the notice rules in section 10. For other material changes to these Terms, we will inform you before they apply, using an appropriate notice you can retain. We will explain the effective date and any action needed from you. Where law requires a particular notice period or your consent, we will follow that requirement.
We will not use an update to these Terms to remove the protection of an already paid subscription period under section 10. Changes required by mandatory law apply as that law requires.
If you do not agree to proposed conditions for a future subscription period, you may cancel renewal before they take effect. Continuing access during a period already paid for does not by itself permit us to impose reduced paid-plan entitlements during that period.
15. Governing law, complaints and other terms
These Terms are governed by the laws of Estonia. If you are a consumer, that choice does not deprive you of mandatory protections under the law that would otherwise apply in your country of habitual residence.
Send questions, complaints or a proposed resolution to [email protected]. Include enough information for us to identify the account or order and understand the issue, but do not send passwords or API secrets.
We will respond to consumer complaints within the time required by applicable law. Where Estonian consumer rules apply, that normally means a written response within 15 days; if the issue cannot be resolved in that period, we will explain the reason and the expected further handling.
If a consumer dispute cannot be resolved directly, you may seek assistance from the Estonian Consumer Protection and Technical Regulatory Authority or apply to the Consumer Disputes Committee where it has jurisdiction. Consumers may also use any competent local court or other dispute-resolution body available under mandatory law. We do not require consumers to accept compulsory private arbitration or waive non-waivable rights.
For disputes with business customers, the courts of Estonia have jurisdiction unless a separately signed agreement provides otherwise or mandatory law requires a different forum.
If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. Failure to enforce a provision on one occasion does not waive it generally.
Your accepted order and any separately signed agreement govern their specific subject matter. A data processing agreement governs processing covered by it. No general update to a website or Pricing page retroactively changes your accepted paid order.
